2) 有哪些网站可以注册公司? 我们几个人里，只有我有绿卡，其他人要么是H-1，要么是EAD(I-485 pending)，请问怎样的形式最为有利? 注册公司费用如何?
A: This is the most important Q. That's why I moved it onto the top of your list.
There are 3 forms to set a business,
- Sole Proprietorship
- Partnership
- Corporation
The key is, you want to completely isolate your personal assets from your business. In case of litigation, your creditors will not be able to seize your home, your cars, etc.
To this end, given the small business, you have the following options:
a) Limited Liability Company (LLC, Partnership).
b) S-Corporation (Small Corporation. Another is called C-Corporation)
One addition advantage, in both forms, the profit will not be taxed twice.
One possible hurdle. Given that only you have the Green Card, you may consult an attorney to see whether you can form a S-Corp, because it requires that all shareholders must be in the US, and the total number of shareholders should be less than 100.
It is fine to set a LLC, though.
Also, my suggestion is to find an attorney to do this. This may cost you a couple of thousands (and even could be less than one grand) up in the front, but will save you a lot of troubles later -- If you want to do some serious business. Particularly if you want to do Import/Export, you really need professionals to deal with laws.
In addition, business tax is not a big deal. In California, annual tax for a S-Corp or LLC is only 800 bucks -- If you don't make any profit. As far as you report profits, you must pay State Income Tax when you reside in CA (unless you form a C-Corp. But this is obviously not an option for you, because the profit will be taxed twice, in the coporate level first, and when it is distributed to owners, taxed again in the personal income level). You may save much more than $800, consider all the paperworks and communications issues if you register your business, say, in Delaware.
Simply put, for a small business, just follow the simplest way. After all, 800 bucks may only be good for your phone bills.

A: See above.
3) 一直不太明白，是先成立公司再去拉投资，还是先拉到钱再成立公司? confused...
A: These are irrelevant. Whether you can raise funds depends on if and when you can make money.
And remember, typical VCs are looking for at least 10 times return. Angels' expectations are even higher.
So you must convince them that your products or services can do this.
4) 如果帮国内厂家代理销售，也想出口些东西到亚洲(不只是中国大陆)，成立怎么样的公司好?
Either LLC or S-Corp will be fine. You must include Imports/Exports into your business scopes.
One more thing. Always remember that:
CASH IS THE KING!
Most small businesses fail in the first 3 - 5 years. The No. 1 killer is: Cash flow failure.
