Billionaire Perelman sues Morgan Stanley
APR. 7 10:34 A.M. ET A jury began hearing arguments this week in billionaire Ron Perelman's lawsuit against Morgan Stanley, which he accuses of covering up the failing finances of Sunbeam Corp. in a 1998 deal with the company.
Perelman, the Revlon cosmetics chief and a former Palm Beach resident, is suing the Wall Street firm to recoup $680 million in losses, plus up to $2 billion in damages. He claims he relied on Morgan Stanley's word that Sunbeam was a turnaround success.
"Sunbeam was a fraud, Morgan Stanley knew it was a fraud and aided and abetted in the commission of that fraud," Perelman attorney Jack Scarola said on Wednesday as he ended a four-hour opening statement.
Morgan Stanley attorney Mark Hansen told the jury that Perelman was not misled by the Wall Street firm, which represented Sunbeam in its 1998 deal with Perelman.
"Mr. Perelman's own advisers warned him that Sunbeam was a company to stay away from, but he ignored them," Hansen said. "He made his own decision."
In a blow to Morgan Stanley's defense before the trial, Circuit Judge Elizabeth Maass ruled that Morgan Stanley knew of the fraud but that Perelman must prove to the jury that he relied on the firm's word when he accepted 14.1 million shares of Sunbeam stock in 1998 in a buyout deal.
Hansen claimed Perelman benefited from the deal because Sunbeam absorbed $519 million in debt from a Perelman-controlled company and Perelman pocketed $160 million in cash from Sunbeam in addition to the stock shares.
"Mr. Perelman was not under the spell of Morgan Stanley or any other investment firm," Hansen said. "He's way too shrewd and smart for that."
But Scarola said Morgan Stanley misled Perelman about Sunbeam's true finances so that it could earn $32 million from Sunbeam's acquisition of camping equipment maker Coleman Co. from Perelman.
The trial is expected to last three weeks.
