--generally, incorporation is governed by state law (not federal law.
--C corp, S corp are concepts from Federal Tax Code (IRS Code, subchapters C and S). They are tax concepts, not forms of inccorporation under individual state law. They receive different tax treatments.
--LLC is popular form, it shield you from liability, and you are taxed as LLP (roughly)
--Corpotrations are more expensive to set up.
--2 most popular states for incorporation are Nevada & Delaware. They have very favorite statutes for corporations. Ford Motor, though operating from Michigan, is a Delaware company. The 2 most important things about these 2 states are: (1) no state corporate income tax; (2) very dissficult to "lift the corporate veil" i.e. very difficult to hold company officiers responsible personally under the law in these states.
--You may find a lot of websites offering incorporation services i these 2 states.
